ORGANIXLAB USA LLC AFFILIATE TERMS OF USE
As an authorized affiliate (“Affiliate”) of ORGANIXLAB USA LLC (“OrganixLab,” “Company,” “we,” or “us”), you agree to comply with the terms and conditions set forth in this Agreement (“Agreement”). Please read this Agreement carefully before registering for or participating in the OrganixLab USA LLC Affiliate Program (“Program”). By applying to or participating in the Program, you acknowledge and accept this Agreement and all of its terms.
1. Program Purpose
Your participation in the Program is solely for the purpose of lawfully promoting OrganixLab products and earning commissions on qualifying sales referred to OrganixLab through your approved affiliate link, discount code, website, social media, email, or personal referrals, as authorized by us.
2. Approval or Rejection of Application
All affiliate applications are subject to review and approval at our sole discretion. We reserve the right to approve, reject, suspend, or terminate any application or Affiliate account at any time, with or without cause, and with or without prior notice.
3. Commissions
Commission rates, structures, tiers, bonuses, payout terms, and promotional requirements may vary by Affiliate and may be governed by a separate written agreement, campaign terms, or individual approval by OrganixLab. If an Affiliate has entered into a separate written agreement with OrganixLab, that separate agreement shall control in the event of any conflict with these Terms.
Commissions are generally paid once per month on qualifying transactions that have been successfully completed and remain valid through any applicable review, return, refund, chargeback, fraud, or dispute period determined by OrganixLab.
You may not refer yourself, directly or indirectly, and you will not receive commissions on your own purchases, self-referrals, fraudulent transactions, canceled orders, returned orders, refunded orders, disputed charges, chargebacks, or any transaction deemed invalid by OrganixLab.
4. Tracking and Attribution
Affiliates may be issued a unique tracking link, discount code, or both. Only sales properly tracked through an Affiliate’s assigned and active link or code will be eligible for commission. OrganixLab is not responsible for tracking failures, missing codes, customer error, deleted cookies, browser settings, technical problems, or untracked sales. Any manual adjustment, if made, shall be at OrganixLab’s sole discretion.
5. Termination
Your application and status in the Program may be suspended or terminated for any reason deemed appropriate by OrganixLab, including but not limited to the following:
a. inappropriate or misleading advertising, including false claims or deceptive hyperlinks;
b. spam, mass unsolicited messaging, or abusive promotional activity;
c. advertising on websites, platforms, or channels containing or promoting illegal activity;
d. failure to disclose the affiliate relationship where required by Federal Trade Commission guidelines or other applicable laws or regulations;
e. violation or misuse of OrganixLab intellectual property rights, including trademarks, logos, or brand assets;
f. unauthorized use of rebates, kickbacks, misleading coupon offers, or deceptive incentives tied to affiliate commissions;
g. self-referrals, fraudulent transactions, fake orders, cookie stuffing, click fraud, or suspected affiliate fraud;
h. unauthorized PPC bidding or paid advertising using OrganixLab brand terms without prior written permission; or
i. any other conduct that, in our judgment, violates this Agreement or is harmful to OrganixLab, its brand, customers, or business interests.
OrganixLab reserves the right to terminate any Affiliate account at any time, with or without cause.
6. Affiliate Links and Promotions
You may use graphic and text links on your website, social media, and in lawful email communications, and may promote OrganixLab through approved online and offline channels, including blogs, social platforms, magazines, and newspapers. You may use the graphics, copy, and brand materials provided by us, or create your own materials, provided they are truthful, professional, compliant with applicable law, and not in violation of this Agreement.
You may not make false, deceptive, misleading, unsubstantiated, medical, drug-like, disease-treatment, or guaranteed-result claims regarding OrganixLab products. Affiliates may not state or imply that OrganixLab products diagnose, treat, cure, mitigate, or prevent any disease or medical condition.
7. Coupon and Deal Sites
OrganixLab may occasionally provide certain Affiliates or subscribers with authorized coupons, discount codes, or special offers. Unless you have been specifically pre-approved or assigned a branded coupon or offer, you may not promote or imply the existence of any coupon, discount, or deal.
Affiliates may not:
a. use misleading text on affiliate links, buttons, or images to imply unauthorized deals or savings;
b. bid on phrases such as “ORGANIXLAB USA LLC coupons,” “ORGANIXLAB USA LLC discounts,” or similar coupon-related search terms without written permission;
c. use pop-ups, pop-unders, iframes, forced redirects, or any other seen or unseen method to set affiliate cookies without a clear, user-initiated action;
d. suggest that a coupon, deal, or savings is available when none is currently authorized; or
e. use “click to see coupon/deal” style language when no valid coupon or deal exists.
Violation of this section may result in immediate removal from the Program.
8. PPC Policy
Pay-per-click advertising, search engine bidding, or any paid promotion using OrganixLab brand names, trademarks, product names, or confusingly similar variations is prohibited without prior written permission from OrganixLab.
9. Intellectual Property
OrganixLab retains all right, title, and interest in its trademarks, trade names, logos, product names, graphics, marketing materials, and other intellectual property. Affiliates are granted only a limited, revocable, non-exclusive, non-transferable right to use approved OrganixLab materials solely in connection with the Program and only in compliance with this Agreement. We may revoke that permission at any time.
10. FTC and Legal Compliance
Affiliates must clearly and conspicuously disclose their relationship with OrganixLab in all endorsements, reviews, posts, stories, reels, videos, blogs, or other promotional content where required by law. Affiliates are solely responsible for ensuring compliance with all applicable advertising, endorsement, privacy, consumer protection, and other laws and regulations.
11. Liability
OrganixLab will not be liable for indirect, incidental, special, punitive, or consequential damages, including loss of revenue, commissions, profits, goodwill, data, business opportunities, or expected earnings, arising out of or related to the Program, tracking failures, website downtime, loss of database files, technical issues, interruptions, unauthorized activity, or any harmful acts directed toward the Program or our website(s).
We make no express or implied warranties regarding the Program, our website(s), or the products sold by OrganixLab, and we do not guarantee uninterrupted or error-free operation.
12. Term of the Agreement
This Agreement begins upon your acceptance into the Program and continues until terminated by either party or by OrganixLab’s removal of your Affiliate account. We may modify these Terms at any time by posting an updated version or otherwise providing notice. Your continued participation in the Program after any such change constitutes your acceptance of the revised Terms. If you do not agree to any modification, your sole remedy is to terminate your participation in the Program.
13. Indemnification
Affiliate shall indemnify, defend, and hold harmless ORGANIXLAB USA LLC and its affiliates, subsidiaries, officers, directors, managers, employees, contractors, licensees, successors, assigns, and authorized distributors from and against any and all liabilities, damages, fines, penalties, judgments, claims, costs, losses, and expenses, including reasonable attorneys’ fees and legal costs, arising out of or related to the Affiliate’s participation in the Program, breach of this Agreement, negligence, fraud, misrepresentation, failure to disclose, violation of law, infringement of third-party rights, or intentional misconduct.
14. Independent Contractor Status
Affiliates are independent contractors and are not employees, agents, franchisees, partners, or representatives of OrganixLab. Nothing in this Agreement creates any employment, agency, partnership, joint venture, or fiduciary relationship.
15. Electronic Signatures Effective
This Agreement is an electronic contract that sets forth the legally binding terms of your participation in the Program. By completing the application process, clicking acceptance, or otherwise participating in the Program, you acknowledge and agree that your action constitutes an electronic signature with the same legal force and effect as a handwritten signature.
16. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles.
